You need to lose that outter array. Like this:
my $phones= {
'Phones' => [
{ 'Manufacturer' => 'Sony',
'Model' => 'SE1',
'Version' => 'M94',
'Count' => 2
},
],
};
my $xml = new XML::Simple(NoAttr=>1,RootName=>'terminalversioncount');
print $xml->XMLout($phones);

tags should generally be avoided. If they must
